Anthropic Slips IPO Marketing to Mid October

Anthropic is expected to begin marketing its initial public offering in mid-October at the earliest and to complete the listing days before the November midterm elections, people familiar with the matter told Reuters on Friday. [1] The company had been expected to make its IPO prospectus public as early as next week, a step that would kick off the final stages of the offering. That step is now not expected until late September. The plans, including the timing, are subject to change. [1] Anthropic declined to comment. Do not write that Anthropic is public. Do not treat $2 trillion as a filing.

A calendar slip is not a priced deal. Some investors have talked a $2 trillion listing, which would be among the largest IPOs ever attempted and a test of public-market appetite for the rapidly growing artificial-intelligence industry. [1] Talk is the attribution. It is not a range in a prospectus. SpaceX went public in June at $1.77 trillion. That is a comparison, not a peer close. [1] Companies frequently adjust IPO schedules for market conditions, regulatory review, and other preparations. Reuters noted such changes are not unusual. [1] MSM will sell a mega-IPO delay. Friday's completed record is that the roadshow moved and the S-1 is not out.

The midterm date is a clock, not a priced window. A listing days before November elections is still a plan. A prospectus that slips from "next week" to late September is the only date that moved on Friday. [1] Investors looking for public-market exposure to AI have been waiting for this file. Waiting is not a ticker.

The mechanical next step is credit, not equity. Anthropic is looking to finalize a $15 billion revolving credit facility. After that, analysts, including those at banks involved in the financing, are expected to meet with the company. Bloomberg earlier reported talks to expand the facility to $15 billion. [1] Companies typically leave a few weeks between analyst meetings and a public prospectus. Anthropic is expected to run a tighter window because analysts already know the company. [1] A revolver being finalized is not a listing. Analyst meetings are not a price.

Morgan Stanley, Goldman Sachs, JPMorgan, and Citi are among the banks working with Anthropic on the IPO, according to people familiar with the matter. The banks declined to comment. [1] The offering could come alongside potential listings from other AI companies, including OpenAI. [1] "Could" is the verb. A syndicate list is not a ticker. Four banks and a $15 billion revolver still leave the company private. Public-market appetite is the test Reuters named. It has not been taken.

Echo Wang's exclusive is a timing change on an unsold deal. Marketing mid-October at earliest. Prospectus late September, not next week. Listing days before the midterms, if the calendar holds. Two trillion is what some investors have said. Anthropic has not said it. A financing announcement is not a delivered listing. Today is a slip. It is not a priced market.
